SIS had a few patents that nVidia wanted.. instead of buying a patent, it is easier to buy out the entire company -- as long as they are operating at loss and use the loss-carry-forward as a tax write-off. This way, they essentially get the patents for free since whatever they pay for the company, they can write off their taxes..


Investors don't like that too much, it does not look good in the books but it is a very simple and elegant maneuver to get IP and staff for essentially nothing ...
