I have turned off "wake on LAN", "wake on ring" and the "resume by pci" in the BIOS settings. We'll see what that does.

I did receive a phone call or two last night after I turned off the computer and one of those might have been on the fax line. So, I'm betting (hoping) that the problem lies with the modem.

However, the 3.3v and 5v short to ground caught my attention. I have had a problem with this system from the get go. It is a rarely occuring but catastrophic shut down of the system. I'll click on something in Netscape, or click "send" on my fax software and there is a loud click and the system does a total crash to black screen reboot. This happens maybe once every 2 or 3 months. I've upgraded the power supply and the video card but have had the crash occur since those changes. If it happens again the next swap out will be the modem.
