What CPU do you have now ?
How many watts is your Power Supply Unit ?.
Also how much RAM do you have in the computer ?.
You can see RAM count when you first boot up or later in the OS look in start, setting, control panel, system, in XP you have to goto device manager to see the amount of total RAM.
What version of windows do you have 95, 98, XP ?.

If you dont have enuf RAM then that slows the computer way down, no matter what CPU & MoBo you have as it starts using the Hard drive (which is slow) instead of the RAM. Anyways 256 MBs is bare minimum thou I am finding 128 MB's in Dell systems my family have bought, 64 MB's can work but at a snails pace. 512 MB's of RAM or more is better if you use office programs or the latest games.

DDR is good RAM so what you have is fine, but you may need to look at one to find out what to buy so the speed is close to the any ones you may buy. The fastest RAM or the lastest greatest RAM would not gain you a whole lot of speed

Having a Power Supply Unit better then what you will need is the best way to go. If your upgrade is a big change then a new PSU in needed.

So you may have to balance what you buy for your upgrades.

When you change the Mother Board that is going to change your OS & could break it, so if you have anything important on that Hard Drive back it up ahead of time.
