If playing with the memory and a keyboard swap fail to fix things, see if the company can get you a different brand of motherboard.

AFAIK an Athlon CPU overheat almost always shows up as a locked system, not a spontaneous reboot, and a video card overheat would also result in a lockup. However, sometimes unstable power signals can cause reboots -- and since you already tried a different power supply, that only leaves the motherboard...
