make c your Win98 partition, you need about 2G for all the registry and program extensions.
D as a common swapfile for both OS, 500 MB if you want to stick with FAT (it'll force FAT16 because of the small partition size and, thus make up for the speed). E: Win2K 2G F: programs etc. Whether you want to use NTFS or FAT32 is up to you, you won't have the security options with FAT32 but you'll get by.
I'm a bit rusty on W2K since it's been over a year since I played with it but that's what worked for me
