are shadowed devices: boot to safe mode and remover all duplicates.
Byte Merge or PCI Dynamic Bursting disabled in BIOS.
Wrong Protocol used, check whether TCP/IP and IPX are running and turn off NetBEUI if it is there.
Base Memory address conflict as Baldy suggested.
