First is to open up MS Messenger, Click on Tools-->Options and go to the Preferences Tab. Uncheck the box that says, "Run this Program when Windows Starts". And Just to be safe the one that says, "Allow this program to run in the Background.

The Second and easier method if you don't use it is to uninstall it. It's in the Add/Remove Programs under MSN Messenger.
